Private members’ club giant Soho House & Co is set to go private after striking a takeover deal worth around $2.7 billion with a consortium of investors led by New York-based hotel group MCR Hotels.

The agreement will see shareholders receive $9 per share, valuing the London-founded hospitality brand at around $2.7 billion including debt.

The deal is backed by a group of heavyweight investors, including private equity firm Apollo, as well as a number of existing shareholders such as billionaire Ron Burkle, restaurateur Richard Caring, and Soho House founder Nick Jones.

Hollywood actor-turned-technology investor Ashton Kutcher has also joined the consortium. Kutcher will take a seat on the Soho House board, alongside MCR chief executive Tyler Morse, who will serve as vice chairman following the transaction.

A Global Hospitality Powerhouse

Founded in 1995 as a single private members’ club in London’s Soho district, the brand has grown into a worldwide network of 46 Soho Houses, eight Soho Works co-working spaces, and exclusive Scorpios Beach Clubs in Mykonos and Bodrum. The company also owns The Ned and a string of other high-profile hospitality businesses.

Since its IPO on the New York Stock Exchange in 2021, Soho House has focused on building resilience and expanding its global reach.

Chief executive Andrew Carnie said the buyout underscores strong confidence in the business:

MCR’s Tyler Morse added:
